accessing or using this Website, you confirm that you are of legal age to form a binding contract
and meet all eligibility requirements.2. Scope of Use and Purpose of the Website

access to our software or services, including Underwriting 2.0. Access to such services is only
available under a separate written agreement with MANIT (an “Agreement”).Nothing on the Website constitutes an offer, license, or entitlement to use any of our proprietary

product or service that competes with MANIT.3. Relationship Between Terms and Service Agreements
If you subscribe to or contract for any MANIT products or services (the “Services”), whether
through SaaS delivery, API access, or otherwise, your use of those Services is governed
exclusively by the applicable Agreement you enter into with us. No oral or informal promises,
discussions, or representations shall be binding. Only a written and signed agreement with
MANIT shall have legal force.In the event of a conflict between these Terms and your Agreement, the Agreement will control.

We may revise these Terms at any time. Updated versions are effective immediately when
posted and govern all subsequent use of the Website. Continued use of the Website means you
accept the changes.Changes to arbitration provisions (see Section 21) will not apply to disputes for which the parties

The Website is operated from Florida, U.S.A. Access outside the U.S. is at your own risk, and

In no event shall MANIT’s aggregate liability exceed the fees paid by you in the three (3)

You agree to indemnify and hold harmless MANIT, its officers, directors, employees, and agents
from and against any claims, damages, liabilities, including attorneys’ fees and costs.15. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Florida, with exclusive jurisdiction
and venue in Miami, Florida.Arbitration Agreement
Disputes arising out of or relating to the Website shall be resolved by binding arbitration
administered by the American Arbitration Association in Miami, Florida, under its Commercial
Arbitration Rules.Arbitration will be conducted only on an individual basis. Class, collective, or representative
actions are prohibited. Both parties waive the right to a jury trial.16. Miscellaneous
Entire Agreement. These Terms of Use, together with our Privacy Policy and any other legal
notices expressly incorporated herein, constitute the complete and exclusive understanding and
agreement between you and MANIT LLC regarding your use of the Website.Headings. Section headings are for convenience only and shall not affect the meaning or
interpretation of any provision of these Terms of Use.Assignment. Any attempted transfer or assignment of these Terms without prior written consent
from MANIT shall be null and void and result in immediate termination of rights.
